Please read these terms and conditions carefully before using Our Service.
These are the Terms and Conditions governing the use of this Service and the Agreement that operates between You and Reelnews, LLC., the Company. These Terms and Conditions set out the rights and obligations of all Users regarding the use of the Service.
Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, Users, and others who access or use the Service.
By accessing or using the Service You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions then You may not access the Service.
You represent that You are over the age of 18. The Company does not permit those under 18 to use the Service.
Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Our Privacy Policy describes Our policies and procedures on the collection, use and disclosure of Your personal information when You use the Application or the Website and tells You about Your privacy rights and how the law protects You. Please read Our Privacy Policy carefully before using Our Service.
Interpretation and Definitions
Interpretation
The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural, or they are written entirely or partially in, lowercase or uppercase.
Definitions
For these Terms and Conditions:
Application means the software program provided by the Company downloaded by You on any electronic device, named Reelnews.
Application Store means the digital distribution Service operated and developed by Apple Inc. (Apple App Store) or Google Inc. (Google Play Store) in which the Application has been downloaded.
Affiliate means an entity that controls, is controlled by, or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest, or other securities entitled to vote for the election of directors or other managing authority.
Commenter refers to a User who posts original Comments or replies to Comments, to a newsreel submitted by a Contributor.
Company (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to Reelnews, LLC., 11837 Judd Ct #58 Dallas, TX 75243.
Content refers to original or licensed material and information such as text, images, videos or other Content, posted, uploaded, linked to or otherwise made available by You on Reelnews regardless of the form.
Contributor refers to a User who posts Content to the Service in compliance with these Terms and Conditions. Said
Creator may be a Publisher or a Commenter or both.
Country refers to: Texas, United States
Device means any device that can access the Service such as a computer, a cell phone or a digital tablet.
Feedback means feedback, innovations or suggestions sent by You regarding the attributes, performance or features of our Service.
Good Standing means a User who has complied with the Terms of the Service while not being subject to any form of suspension or termination. A User that is in good standing may use the Services to the fullest extent allowed by these
Terms and by law in the jurisdiction they are located.
Hold for Approval (HFA) refers to the mandatory waiting period of 48 hours on the first newsreel of every Contributor before the newsreel is published on Reelnews.
In-app Purchase refers to the purchase of a virtual coin called ReelCoin and other products, items, Services, or Subscriptions made through the Application and subject to these Terms and Conditions and/or the Application Store's Terms and Conditions.
Intellectual Property Rights means all patent rights, copyright rights, moral rights, rights of publicity, trademark, trade dress and Service mark rights, goodwill, trade secret rights, and other intellectual property rights as may now exist or hereafter come into existence, and all applications therefore and registrations, renewals, and extensions thereof, under the laws of any state, country, territory, or other jurisdiction.
Newsreel refers to a short-form video or film of local, national, or international news events, current events, or other informative subject matter. A video news report. Typically, newsreels are from 10 seconds to 90 seconds and more as allowed by Reelnews.
Personal Information means information that identifies a specific User (individual or entity) and can be used to contact or identify the User; examples of Personal Information include name, email address, postal address, and phone number.
Players refer to Reelnews Users who are active in ReelUp.
Promotions refer to games, contests, sweepstakes, or other promotions offered through the Service whether temporarily or long-term that may be referred to by specific names such as, ReelUp, ReelBoards or any other name we may use to refer to such games, contests, sweepstakes, or other promotions.
Publisher refers to a User who posts original newsreels to the Reelnews Service under these Terms and Conditions.
ReelBoards refers to the digital list of the newsreels, Publishers, and Commenters on Reelnews during a specified time (daily, weekly, monthly, etc.) and according to the calculations of certain variables over that term. Variables may include newsreel views, Contributor followers, Commenter likes, and so forth.
Reelnews/reelnews refers to the Company, the brand, and the Services herein defined, and which may be modified, enhanced, or broadened at the sole discretion of Reelnews.
ReelCoins refers to In-app virtual currency paid for with real money. You can use ReelCoins to purchase virtual gifts like
ReelPraise to gift/reward Your favorite Publishers or Commenters or just to say, “thank you”.
ReelPraise refers to a virtual item or gift consisting of an image of an item that represents the praise that the User wants to gift/reward a Contributor. ReelPraise is a non-physical item for exclusive use in ReelUp and purchased only with
ReelCoins. ReelCoins are available only through an In-app Purchase on Reelnews.
ReelUp refers to an ongoing User achievement scale promotional platform within the Service wherein Users move up multiple levels of recognition and rewards according to the performance of their Content within the Service.
ReelUp is offered strictly as entertainment for all Users and is not in any way to be construed as anything other than entertainment for the enjoyment of all Users of the Service.
Service refers to the Application, Website, or other platform and all interactions therein including but without limited, to promotions, contests, or competitions between Users of the Service, their Content, or the performance of their Content.
Terms and Conditions (also referred to as "Terms", “User Terms” and “Agreement”) mean these Terms and Conditions that form the entire Agreement between You and the Company regarding the use of the Service.
Third-party Social Media Service means any Services or Content (including data, information, products, or Services) provided by a third party that may be displayed, included, or made available by the Service.
User means a person who utilizes the Services. A User may have a User Profile or Account and is typically identified to the Service by a username. A User may be associated with an entity or company and may identify that entity or company in his or her User Profile subject to verification by the Company. All Contributors are users.
User Account means a unique account created by You to access our Service or parts of our Service.
User Profile is the section of the Application and the Service, which has a collection of information associated with a particular User. A User Profile is the explicit digital representation of the identity of the User within the Service and may contain that User's Content and other information the User may wish to display.
Virtual Currency refers to the In-app currency called ReelCoins and is a digital representation of value only available in Reelnews. It is stored and transacted only through the Services. Transactions involving Reelcoins occur through Reelnews' secure, dedicated networks over the Internet.
Virtual Items or Goods refers to any digital, non-physical product or object offered or sold on Reelnews. These include but are not limited to ReelCoins and ReelPraise.
Website refers to www.reelnews.app
You/Your means the individual accessing or using the Service, or the Company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable. You are included within “Users” wherever it is used. While the words of which the initial letter is capitalized have meanings defined hereunder, the use of you, your, You, Your, or any variation, will have the same meaning whether in lower or upper case.
In-app Purchases, Virtual Currency, and Items
The Application may include In-app Purchases that allow You to buy digital or virtual items, products, Services, or Subscriptions if offered.
More information about how you may be able to manage In-app Purchases using your Device may be set out in the Application Store's terms and conditions or your Device's Help settings.
In-app Purchases can only be made within the Application. If you make an In-app Purchase, that In-app Purchase cannot be canceled after you have initiated its download. In-app Purchases cannot be redeemed for cash or other consideration or otherwise transferred.
If any In-app Purchase is not successfully downloaded or does not work once it has been successfully downloaded, we will, after becoming aware of the fault or being notified of the fault by You, investigate the reason for the fault. We will act reasonably in deciding whether to provide You with a replacement In-app Purchase or issue You with a patch to repair the fault. In no event will We charge You to replace or repair the In-app Purchase. In the unlikely event that we are unable to replace or repair the relevant In-app Purchase or are unable to do so within a reasonable period and without significant inconvenience to You, We may authorize the Application Store to refund You an amount up to the cost of the relevant In-app Purchase. Alternatively, if You wish to request a refund, You may do so by contacting Reelnews or the Application Store directly.
You acknowledge and agree that all billing and transaction processes are handled by the Application Store from where You downloaded the Application and are governed by that Application Store's terms and conditions.
If You have any payment-related issues with In-app Purchases, then You need to contact the Application Store directly.
ReelCoins
ReelCoins are a virtual currency for use only on Reelnews and its Services including, but not limited to the purchase of virtual gifts or items called ReelPraise. ReelCoins are available only through an In-app Purchase on Reelnews.
How You Can Use ReelCoins
ReelCoins can be used to purchase any item or product allowed by Reelnews including but without limited, virtual and non-virtual goods, or allowed by the Terms herein.
Use of ReelCoins
ReelCoins may only be used on our Services including to participate in ReelUp and as part of Reelnews' Services and cannot be combined or used in conjunction with other promotions, coupons, discounts, or special offers, except those designated by Reelnews.
No ReelCoins may be assigned or transferred to any other User of the Services or third party except as expressly permitted by us in writing or by these Terms. The sale, barter, assignment, or other disposal of any ReelCoins, other than by Reelnews, is expressly prohibited.
Accrued ReelCoins do not constitute property and are not transferable: (a) upon death; (b) as part of a domestic relations matter; or (c) otherwise by operation of law.
Any ReelCoins assigned, sold, or otherwise transferred without the express written consent of Reelnews is void. Any User of the Services who violates this restriction may have his or her account terminated, forfeit ReelCoins from his or her account, and/or be subject to liability for damages litigation and transaction costs.
All ReelCoins of a User will expire automatically upon termination of the User’s Account for any reason.
You agree that we have the right to manage, regulate, control, modify, and/or eliminate such ReelCoins, where we have a valid reason to do so such as where we reasonably believe You have violated these Terms, You are in breach of any applicable law or regulation or for legal, security or technical reasons and that we will have no liability to You based on our exercise of such right. If we decide to eliminate ReelCoins from our Services completely, we will do so after providing reasonable notice to You.
Purchasing ReelCoins – Who Can Buy ReelCoins?
Users of Reelnews Services who are 18 years or older (or age of majority in their jurisdiction) and in Good Standing in Reelnews, may purchase ReelCoins from Reelnews using authorized payment methods such as the App Store or Google Play Store or through other authorized payment providers as may be made available on Reelnews and its Services.
The price of the ReelCoins will be displayed at the point of purchase. All charges and payments for ReelCoins will be made in the currency specified at the point of purchase through the relevant payment mechanism. Currency exchange settlements, foreign transaction fees, and payment channel fees, if any, are based on your agreement with the applicable payment provider.
You will be responsible for the payment of any ReelCoins purchased by You. Once your purchase has been completed, your Reelnews wallet in your User Account will be credited with the purchased number of ReelCoins.
All purchases are final. If you live in the European Union, You may have certain rights under the Consumer Rights Directive.
ReelPraise
ReelPraise are virtual items consisting of an image that represents praise that You wish to gift or reward a Contributor or Commenter or their Content. ReelPraise is a non-physical item used exclusively in ReelUp and Reelnews. ReelPraise may be obtained with ReelCoins only.
Obtaining ReelPraise – Who Can Buy ReelPraise?
Users of our Services who are 18 years or older (or age of majority in Your jurisdiction) and in Good Standing in Reelnews, may obtain ReelPraise by exchanging ReelCoins for ReelPraise. ReelCoins are available through In-app purchases only.
ReelPraise constitutes a limited license for you to gift/reward Content Contributors whether Publishers or Commenters. The exchange rate between each ReelCoin and ReelPraise will be displayed on our app at the point of exchange. The exchange rate between ReelCoins and ReelPraise may change without notice.
Published prices may include taxes where required under applicable laws of your jurisdiction. If any ReelPraise is subject to sales tax in your jurisdiction and you have not paid the applicable sales tax to us, then you will be responsible for the payment of such sales tax and any related penalties or interest to the relevant tax authority.
You agree that we have the absolute right to manage, regulate, control, modify, and/or eliminate such exchange rate as we see fit in our sole discretion, in any general or specific case, and that we will have no liability to you based on our exercise of such right.
If you wish to make changes to your purchase, please contact us at the email address set out below. We will let you know if your requested change is possible. Please note that changes may impact the price as well as other aspects of the purchase.
Except as otherwise set out in these Terms, all sales of ReelPraise are final, and we do not offer refunds for any purchased ReelPraise. When you have exchanged your ReelCoins for ReelPraise, such ReelCoins will be deducted from your User Account and credited with ReelPraise.
ReelPraise cannot be converted into or exchanged for ReelCoins or cash or be refunded or reimbursed by us for any reason.
ReelPraise exchanged or received by any User does not constitute property and is not transferable: (a) upon death; (b) as part of a domestic relations matter; or (c) otherwise by operation of law.
We may replace previously exchanged copies of ReelPraise, if we determine in our sole discretion that the ReelPraise exchanged or received by a User is corrupted or otherwise damaged. We will not charge additional fees for reissuing a corrupted or otherwise damaged ReelPraise.
We reserve the right to terminate or take other appropriate action against the account of any User that is deemed to be abusing ReelUp or in breach of these Terms.
How You Can Use ReelPraise?
With newsreels, comments, or replies to comments, you may use ReelPraise to show Your appreciation for any Content shared by a Publisher or Commenter.
You can give ReelPraise to Content by clicking the “Send” button below the relevant Content.
When you send ReelPraise an equivalent amount of ReelCoins will be automatically deducted from your wallet and converted to ReelPraise.
Please note that when you give a ReelPraise to another User you do so publicly so other Users of the Services (including the recipient of the ReelPraise) can see your name, User ID and the details of the ReelPraise that you gave.
Who Can Earn ReelPraise?
Any Content Creator who is aged 18 (or the age of majority in Your jurisdiction) or older and in Good Standing will be entitled to earn ReelPraise.
How Do You Earn ReelPraise?
ReelPraise is a measurement of the popularity of Content at any given point. ReelPraise is based on a rate of conversion to be determined by us from time to time in Our absolute and sole discretion.
Users cannot purchase ReelPraise directly. They must purchase ReelCoins, which is used to send ReelPraise.
No ReelPraise may be assigned or transferred to any other User of the Services or third party except as expressly permitted by us in writing.
ReelPraise cannot be exchanged for ReelCoins or other ReelPraise except and only as permitted in these Terms.
The sale, barter, assignment, exchange, transfer, or other disposal of ReelPraise not allowed in the Terms, is expressly prohibited.
Accrued ReelPraise does not constitute property and is not transferable: (a) upon death; (b) as part of a domestic relations matter; or (c) otherwise by operation of law.
Any ReelPraise assigned, sold, or otherwise transferred without the express written consent of the Company is void. Any User of the Services who violates this restriction may have his or her account terminated by us, forfeit ReelPraise from his or her account, and/or be subject to liability for damages litigation, and transaction costs.
You agree that we have the absolute right to manage, regulate, control, modify, and/or eliminate such ReelPraise as we see fit in our sole discretion in any general or specific case and that we have no liability to you based on our exercise of such right.
All ReelPraise of a User will expire automatically upon termination of the User’s Account for any reason.
Withdrawing ReelPraise
At any point, a Contributor can see how many ReelPraise he/she has accrued on a real-time basis by checking their User Account.
A Contributor can choose, by selecting the relevant options in their User Account, to withdraw ReelPraise in exchange for monetary compensation (to be denominated in US dollars or other denominations in the sole discretion of Reelnews). The applicable monetary compensation will be calculated by Reelnews based on various factors including the quantity and value of ReelPraise a User has accrued.
The withdrawal of ReelPraise will be subject to the following terms and any additional information provided in the withdrawal of ReelPraise page of the app or site that is provided to you at the time of such withdrawal, including the applicable daily limits on withdrawal amounts.
The rate of withdrawal will be displayed at the point of withdrawal.
You agree that we have the absolute right to manage, regulate, control, modify, and/or eliminate such withdrawal feature as we see fit in our sole discretion, in any general or specific case, and that we will have no liability to you based on our exercise of such right; the applicable cash payment will be made directly into your nominated bank account or other third-party payment account (if applicable).
Your first and last name needs to be an exact match to your third-party payment account information and your third-party payment account needs to be verified. It is your responsibility to ensure that you provide your third-party payment account information correctly. You are responsible for any losses caused by incorrect third-party payment account information. Payments will not be sent to a third-party payment account with a different email address, first name, or last name from what is on your Reelnews User Account.
We reserve the right to verify your identity, age (by requesting a photocopy of your state ID card, or other proof as we may require) and eligibility qualifications to our satisfaction before making any payment.
Although we aim to fulfill all withdrawal requests promptly, we do not guarantee fulfillment within a specific period (including any estimated timings set out at the time of withdrawal) and we will not be liable to you or any third party for any failure to fulfill a withdrawal request within any such time.
If you wish to convert the amount into a currency other than USD, this option may be available within your third-party payment account but this is at the discretion of the third-party payment account company and the terms and conditions of the third-party payment account company, including any applicable fees, will apply to such currency conversion.
If you are subject to any taxes imposed by any jurisdiction on these payments, you will be responsible for the payment of such taxes (including any related penalties or interest) to the relevant tax authority. We reserve the right to deduct any applicable taxes before making such payment if we determine that we are required to do so by applicable law. We also reserve the right to request certifications from you about taxes and to report to tax authorities amounts paid and/or withheld from payments to you.
We reserve the right to deduct ReelPraise from your account if you are in breach of these Terms.
We may cancel ReelUp, and ReelPraise or allow you to withdraw ReelPraise at any time. If we cancel ReelUp, ReelPraise or allow you to withdraw ReelPraise, you shall have no right or entitlement to any financial compensation in respect of any ReelPraise accrued before the date of cancellation that has not been converted into cash using the process set out in these Terms.
You may cancel Your account at any time, and we may terminate Your account by the Terms. All the ReelCoins or ReelPraise in Your account will be canceled immediately upon the cancellation or termination of Your account. There will be no refunds for any unused or unredeemed ReelCoins or ReelPraise, so we recommend You use them before terminating Your account.
ReelUp and ReelBoards
ReelUp
ReelUp is a Reelnews In-app platform where Contributors can achieve recognition, In-app reputation, and rewards based on the performance of their Content. ReelUp is offered for entertainment purposes only. Titles, levels, rewards, and recognition are subject to change and revocation without notice to You at the sole discretion of Reelnews. You agree that Reelnews may change any aspect of ReelUp without prior notice to You or any other Users.
Content can be newsreels (short video news reports), Comments to the newsreels, or Comments to Comments. All are considered Content on Reelnews and ReelUp.
When You upload newsreels, You join the platform as a Publisher. If You post Comments or reply to Comments, You join the game as a Commenter. Each has separate paths and achievement structures. You can participate as one or the other or both.
ReelUp – a Brief Introduction
ReelUp was created to showcase Your Content. And to showcase our Contributors who are a part of a new generation of independent news reporters, news consumers and news influencers committed to open dialogue, freedom of expression and opinion, and critical thinking.
If You participate by contributing Your Content, You can begin to move up (ReelUp) through levels of positions, titles, rewards, and much more.
In ReelUp, Users all over the world will have a chance to engage with your Content.
Rewards are in the form of special in-game level names and badges given when different levels of achievement are reached, recognition on ReelUp as higher levels are reached, participation in ongoing performance contests called ReelBoards, the right to receive virtual gifts from other Users in the form of ReelPraise and other rewards as we may add to ReelUp from time to time.
Contributors may display their level badges on their User Profile.
Objective
Your objective is to level up (ReelUp) through multiple levels of achievement for each of two types of Users/Players: Publishers and Commenters. Achievement is measured by the performance of Your Content on Reelnews. Performance metrics ReelUp takes into consideration include views, likes, followers, comments, replies to comments, shares, and quantity of Content, among other metrics.
Requirements for Participation
The requirements for You to participate in ReelUp are simple:
Agree and abide by Reelnews Terms of Use (you’re reading them now) and Privacy Policy.
Be in Good Standing.
Create original Content and post it on Reelnews.
Do not cheat, hack, or manipulate Your Content numbers.
Do not inflate Your performance numbers by purchasing any views, followers, likes, or any other metric. Doing so may result in suspension or termination of Your Account. That’s it.
Things to Remember
ReelUp is for participation within the Service and intended solely for entertainment purposes of our Users within the Service and to get more Users to engage with the news. ReelUp is an In-app platform or stage. No other benefit or right is created for participant Users.
Your Content must be compliant with these Terms and must be compliant with all applicable local, national, or global regulations. These regulations include but are not limited to the Digital Millennium Copyright Act, the Fair Use provisions of the US Copyright Act, and the Reelnews Terms of Use.
ReelUp is available to all Users eligible for a Reelnews User Account and wherever You as a User are not prohibited to participate for any reason whatsoever including but not limited to your age, your jurisdiction, or any other restriction. Reelnews accounts are intended for Users to create, upload, and share original newsreels and to comment on and otherwise engage with all Content.
These guidelines and rules are to help You understand how You can participate in ReelUp, create original Content, and move up the ReelUp levels as You maintain Your participation as a Content Creator on Reelnews.
What Reelnews Asks of You. And All Its Users.
Respect the world as you expect to be respected.
We’re a global community of many types of people who are very interested and excited about being part of an independent and transparent news world. And who has the right to feel welcome and comfortable and who may not think what you think or believe what you believe.
Be polite and respectful in your interactions with other Users. This does not mean you can’t be critical, engaging, and passionate. Just do those things civilly and respectfully. We welcome open dialogue. We demand civil dialogue.
Be original, give Your sources, and do not plagiarize.
Respect the copyright of others. This means don’t steal Content that other people have created and pass it off as your own. Ever. Besides, it’s not difficult to create Your video news report.
Moderate your Content.
All Content on Reelnews, whether public or private, has to be appropriately moderated using our safety and Content filters.

This is your community. Celebrate your creativity, be social, and share what’s important to you. See the news and the world through others’ eyes and participate!
And remember, we welcome and encourage open dialogue on all newsreels no matter what news is reported.
ReelBoards
The purpose of the ReelBoards is to show Publishers and Commenters where they and their Content rank in ReelUp at any given period. Those at the top enjoy the “cred” and notoriety it brings; as for everyone else, ReelBoards shows them where they and their Content stand relative to other Contributors.
ReelBoard participation is open only to Content that is viewable to the public. So, if a User chooses to make their Content private, that Content will not be listed on the ReelBoards.
Three ReelBoards
There are three ReelBoards on ReelUp. (Additional ReelBoards may be added)
Newsreel ReelBoard - lists the top newsreels of a particular period such as day, week, month, or another period.
Publisher ReelBoard - lists the top Publishers of a particular period such as day, week, month, or another period.
Commenter ReelBoard - lists the top Commenters of a particular period such as day, week, month, or another period.
User Accounts
When You create an account with Us, You must provide Us information that is accurate, complete, and current always. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of Your Account on Our Service.
You are responsible for safeguarding the password that You use to access the Service and for any activities or actions under Your password, whether Your password is with Our Service or a Third-Party Social Media Service.
You agree not to disclose Your password to any third party. You must notify Us immediately upon becoming aware of any breach of security or unauthorized use of Your account.
You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than You without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene. Violation of these terms may cause Your Account to be suspended or terminated and may additionally subject You to appropriate legal action by Us or any party that may have recourse available to them for violations.
Your Right to Post Content
Our Service allows You to post Your original Content. You are responsible for the Content that You post to the Service, including its legality, reliability, and appropriateness.
You represent and warrant that: (i) the Content is Yours (You own it) or You have the right to use it and grant Us the rights and license as provided in these Terms, and (ii) the posting of Your Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person.
Hold For Approval (HFA)
When a User uploads his/her first newsreel to Reelnews, that newsreel is Held for Approval (HFA), automatically for up to 48 hours. Every first-time newsreel Contributor must go through this initial process.
Reelnews may approve the newsreel at any time during these 48 hours. However, if we have not approved it within that time frame, the newsreel(s) will automatically be published to the app. Once a User’s first newsreel is published, the User becomes a Publisher and his or her newsreels are not subject to HFA again. If a newsreel is not approved, the Contributor will be notified and provided with how he or she can cure the issue and re-submit.
On all first-time video/newsreel uploads, we have an automatic “hold” or “delay” of up to 48 hours for the newsreel to be published on to the Reelnews app.
We do this so that we can quickly view the first-time video and approve it (or reject it) and the Contributor to the app.
Once a Publishers' first newsreel has been approved, subsequent newsreels from that Contributor will not be subject to HFA. The Company reserves the right to suspend, delete, or terminate a newsreel and the Contributor at any time if it is determined to violate Reelnews' Terms of Use. These actions may be taken because of problematic Content (pornographic, hate, violence, etc.) or any other reason that we, Reelnews, may exercise at our discretion.
How HFA Works
Every Contributor will be subject to his/her first newsreel having a mandatory up to 48 hours “hold or waiting period”. At the end of the 48 hours, if we have not approved it, the newsreel(s) will automatically be published to the app. (We can suspend later if we deem necessary)
Once a Contributor has had his/her first newsreel approved, thereafter their newsreels will not need to be approved. The Publishers' subsequent newsreels will go up upon their uploading to the app.
All newsreels are subject to these Terms and can be suspended or deleted if they are found in violation thereof. If a Contributor's newsreels are suspended regularly, the Service may consider suspending or terminating the Contributor from Reelnews and ReelUp, ReelBoards, and any of the Service offerings.
Your License to Reelnews
By posting Your Content to the Service, You hereby grant to Reelnews an unlimited, non-exclusive (unless otherwise agreed), irrevocable, perpetual, transferable, fully paid-up, royalty-free, worldwide license (including the right to sublicense and assign to third parties) and right to copy, reproduce, fix, adapt, modify, create derivative works from, manufacture, commercialize, publish, distribute, sell, license, sublicense, commercially exploit, transfer, lease, transmit, publicly display, publicly perform, or provide access to electronically, broadcast, communicate to the public by telecommunication, display, perform, enter into computer memory, and use and practice, in any way, Your Content as well as all modified and derivative works thereof in connection with our provision of the Services, including marketing and promotions of the Services. You also hereby grant to Reelnews the right to authorize others to exercise any of the rights granted to Reelnews under these Terms. You further hereby grant to Reelnews the unconditional, irrevocable right to use Your name, likeness, and any other information or material included in any Content and in connection with Your Content, without any obligation to You. Except as prohibited by law, You waive any rights of attribution and/or any moral rights You may have in your Content, regardless of whether Your Content is altered or changed in any manner. Reelnews does not claim any ownership rights in Your Content and nothing in these Terms is intended to restrict any rights that You may have to use and exploit Your Content. You retain any of Your rights to any Content You submit, post or display on or through the Service and You are responsible for protecting those rights. Reelnews has no obligation to monitor or enforce your intellectual property rights to your Content.
Content Restrictions
The Company is not responsible for the Content of the Service's Users. You expressly understand and agree that You are solely responsible for the Content and for all activity that occurs under Your account, whether done so by You or any third person using Your account. You may not transmit any Content that is unlawful, offensive, upsetting, intended to disgust, threatening, libelous, defamatory, obscene, or otherwise objectionable. Examples of such objectionable Content include, but are not limited to, the following:
Unlawful or promoting unlawful activity.
Defamatory, discriminatory, or mean-spirited Content, including references or commentary about religion, race, sexual orientation, gender, national/ethnic origin, or other targeted groups.
Unauthorized advertising, promotion, publicity, advocacy, posting of or for any service, product, merchandise, brand, or other offering without the prior written consent of reelnews.
Spam, machine – or randomly–generated, constituting unauthorized or unsolicited advertising, chain letters, any other form of unauthorized solicitation, or any form of lottery or gambling.
Containing or installing any viruses, worms, malware, trojan horses, or other Content that is designed or intended to disrupt, damage, or limit the functioning of any software, hardware, or telecommunications equipment or to damage or obtain unauthorized access to any data or other information of a third person.
Infringing on any proprietary rights of any party, including patent, trademark, trade secret, copyright, right of publicity, or other rights.
Impersonating any person or entity including the Company and its employees or representatives.
Violating the privacy of any third person.
False information.
The Company reserves the right, but not the obligation, to, in its sole discretion, determine whether any Content is appropriate and complies with the Terms, refuse, or remove the Content. The Company further reserves the right to make formatting and edits and change the manner of any Content. The Company can also limit or revoke the use of the Service if You post such objectionable Content. As the Company cannot control all Content posted by Users and/or third parties on the Service, You agree to use the Service at Your own risk. You understand that by using the Service You may be exposed to Content that You may find offensive, indecent, incorrect, or objectionable, and You agree that under no circumstances will the Company be liable in any way for any Content, including any errors or omissions in any Content, or any loss or damage of any kind incurred because of Your use of any Content.
A Word about Misinformation
Certain types of misleading or deceptive Content that may present serious risk of grievous harm to other Users is not allowed on Reelnews. This includes certain types of misinformation that can cause real-world harm, like promoting unsafe and pernicious remedies, cures, treatments, or certain types of manipulated Content, or Content interfering with democratic processes no matter where it emanates from.
However, identifying what is and isn’t misinformation is not as easy as it might seem. Information that violates the law, established medical protocols, or overwhelming scientific consensus may be easier to identify and deal with. But there is a Tsunami of information that is not as easily cataloged. Therefore, in the near term, Reelnews will go the route of Justice Potter Stewart, in his 1964 US Supreme Court opinion in, Jacobellis v Ohio. We “know it when [we] see it”. Yes, we know that Potter was attempting to categorize what obscenity was, but the statement casts a wide net of definitions.
If Your Content violates our Terms, we can remove it and we will let You know if we do. While we have the absolute right to terminate Your account at any time, we probably won’t. Rest assured that we are unabashed adherents of a continuous “open dialogue” among and between all ideas, opinions and positions and our Users. We are ultimately open-access advocates.
A Word about Critical Thinking
We purposely did not add stringent or Draconian rules, algorithms, or mechanisms to detect misinformation. At least not yet. We believe that the most effective defense against misinformation is learning critical thinking skills and media literacy.
Critical thinking is the approach to evaluating any form of information in an intellectually disciplined manner, using analysis, synthesis, and evaluation produced from research, observation, experience, reflection, reason, or communication. (See: https://www.criticalthinking.org)
Media literacy is simply the ability to critically analyze and evaluate the messages conveyed by the media through critical thinking.
But it starts with You taking responsibility for what you accept and what you don’t. We will be adding resources and information on critical thinking and media literacy in the App and Website for your consideration.
Content Backups
Although regular backups of Content are performed, the Company does not guarantee there will be no loss or corruption of data. Corrupt or invalid backup points may be caused by, without limitation, Content that is corrupted before being backed up or that changes during the time a backup is performed.
The Company will provide support and attempt to troubleshoot any known or discovered issues that may affect the backups of Content. But You acknowledge that the Company has no liability related to the integrity of Content or the failure to successfully restore Content to a usable state.
You agree to maintain a complete and accurate copy of any Content in a location independent of the Service.
Copyright Policy
Intellectual Property Infringement
We respect the intellectual property rights of others. It is Our policy to respond to any claim that Content posted on the Service infringes a copyright or other intellectual property infringement of any person.
If You are a copyright owner, or authorized on behalf of one, and You believe that the copyrighted work has been copied in a way that constitutes copyright infringement that is taking place through the Service, You must submit Your notice in writing to the attention of our copyright agent via email at dmca@reelnews.app and include in Your notice a detailed description of the alleged infringement.
You may be held accountable for damages (including costs and attorneys' fees) for misrepresenting that any Content is infringing Your copyright.

You may submit a notification under the Digital Millennium Copyright Act (DMCA) by providing our copyright agent with the following information in writing (see 17 U.S.C 512(c)(3) for further detail):

A description of the copyrighted work that You claim has been infringed, including the URL (i.e., web page address) of the location where the copyrighted work exists or a copy of the copyrighted work.

The Service and its original Content (excluding Content provided by You or other Users), features, and functionality are and will remain the exclusive property of the Company and its licensors.
The Service is protected by copyright, trademark, and other laws of both the Country and foreign countries.
Our trademarks and trade dress may not be used in connection with any product or Service without the prior written consent of the Company.
Your Feedback to Us
You assign all rights, title, and interest in any Feedback You provide the Company. If for any reason such assignment is ineffective, You agree to grant the Company a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right and license to use, reproduce, disclose, sub-license, distribute, modify, and exploit such Feedback without restriction.
The Service is protected by copyright, trademark, and other laws of both the Country and foreign countries.

The Company has no control over and assumes no responsibility for, the Content, privacy policies, or practices of any third-party websites or Services. Termination
We may terminate (delete) or suspend Your Account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms and Conditions.
Upon termination, Your right to use the Service will cease immediately. If You wish to terminate Your Account, You may simply discontinue using the Service.
Limitation of Liability
Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of this Terms and Your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by You through the Service or 100 USD if You haven't purchased anything through the Service.
To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of this Terms), even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

If You are a European Union consumer, You will benefit from any mandatory provisions of the law of the country in which You are resident.
United States Legal Compliance
You represent and warrant that (i) You are not located in a country that is subject to the United States government embargo, or that has been designated by the United States government as a "terrorist supporting" country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.
Severability and Waiver

Waiver
